TL;DR
Deals kept getting done despite a nasty rates backdrop: Penske Automotive agreed to a $16.3B take-private, Proofpoint (owned by Thoma Bravo) agreed to buy Varonis for about $6.3B, and KKR is buying fund administrator Gen II for $5.1B. A hotter-than-expected September CPI (3.7% year over year) pushed the 10-year Treasury yield above 5.2% and revived talk of another Fed hike, knocking tech hardest. For recruiting, the theme is that financing is expensive but sponsors and strategics are still writing big checks, and loans are beating bonds as the preferred debt market.
TOP 3 DEALS
DEAL 1
Autos / Consumer retail
DEAL SIZE (EV)$16.3B incl. debt; $212/share cash (~8.8% premium)
TIMINGAnnounced Oct 15; close expected Q1 2027
BUYER-SIDE ADVISORSDebevoise (legal, for Mitsui); financial advisors TBD
SELLER-SIDE ADVISORSPaul, Weiss (legal, for special committee); financial advisors TBD
The Penske family company and Japan's Mitsui, who already own a majority of the car-dealership giant, are buying out everyone else and delisting it from the NYSE. After closing, Penske would own about 64% and Mitsui about 36%; the price was nudged up from an initial $210 offer in July.Yahoo Finance ↗
Why it matters for recruiting: A classic "majority holder buys out the minority" deal, which forces a board to form a special committee and hire its own bankers to opine on fairness. It is a clean example of conflicts-driven advisory work. Paul Weiss ↗ Debevoise ↗
DEAL 2
Tech / Cybersecurity
DEAL SIZE (EV)~$6.3B; $49.75/share cash; equity value ~$5.7B (Reuters)
TIMINGAnnounced Oct 15; close expected 1H 2027
BUYER-SIDE ADVISORSBofA Securities, Morgan Stanley, JPMorgan, UBS, Mizuho
SELLER-SIDE ADVISORSGoldman Sachs (exclusive financial advisor)
Proofpoint, a security company owned by private equity firm Thoma Bravo, is buying Varonis, which helps companies find and lock down sensitive data. The price is a 52% premium to Varonis's June 22 close and about 8.4x trailing revenue, funded with Thoma Bravo equity, committed debt, and an investment from Ontario Teachers'.TechNode ↗
Why it matters for recruiting: A sponsor-owned company acting as a strategic buyer, with five banks on the buy side (a big financing syndicate) and one on the sell side. Great case study for how sponsors use "platform" companies to roll up a sector.
DEAL 3
Financial services / PE
DEAL SIZE (EV)$5.1B incl. debt
TIMINGAnnounced Oct 5; close expected 2027
BUYER-SIDE ADVISORSSimpson Thacher (legal); financial advisors TBD
SELLER-SIDE ADVISORSSellers Hg and General Atlantic; advisors TBD (PwC supported on the sale)
KKR is buying a back-office provider that handles tax, compliance, and treasury work for 275+ private-fund managers overseeing more than $2 trillion. Think of it as buying the "picks and shovels" behind private markets rather than a fund itself.Yahoo Finance ↗
Why it matters for recruiting: Shows PE firms buying into the infrastructure of their own industry, and a sponsor-to-sponsor exit (Hg and General Atlantic selling to KKR), which is a common sell-side mandate. Simpson Thacher ↗ PwC ↗
SECTOR SIGNAL
DEFENSE / AEROSPACE
I found no major defense deal this week; the thread to watch is Pentagon cash flow, with one outlet reporting the department is asking Congress for $67B more on top of its roughly $1T budget (single-source, unverified). Delta Air Lines also cut guidance on fuel costs. Crypto Briefing ↗
TECH / TMT
Stripe reportedly agreed to buy AI model router OpenRouter for $7B+ (unconfirmed by either company), while CoreWeave fell 15%+ on debt-cost worries. AI is still driving deals, but financing the buildout is getting scrutiny. Startup Fortune ↗ Investrade ↗
INDUSTRIALS
Goldman upgraded Trane and downgraded Lennox and Carrier, a sign analysts expect HVAC winners and losers to split as rates stay high. Recent financings for MacLean Power's Delta Star purchase and H.B. Fuller's acquisition show industrial M&A is still being funded. Investrade ↗ Octus ↗
HEALTHCARE / OTHER
Healthcare and staples were the defensive winners on CPI day (up 2%+), and Vir signed a collaboration with Gilead. Investrade ↗
M&A / LEVERAGED FINANCE
As of the Oct 2 Octus read, September leveraged loan issuance was about $70B, and bankers said loans are beating high-yield bonds because bond coupons look pricey as base rates climb. Paramount's roughly $57B LBO financing for its Warner Bros. Discovery deal priced second-lien bonds at 8.25%–9.125%, a reminder of how expensive the debt is. Average high-yield spread was 324 bps. MARKET TONE
Hot CPI rattled stocks. September CPI rose 3.7% year over year (vs. 3.6% expected, 3.4% in August); the S&P 500 fell 1.1% to about 7,719 on Oct 14, its third straight decline from record highs, and the Nasdaq dropped 1.9%. Investrade ↗
Yields are the story. The 10-year Treasury hovered around 5.2% and briefly topped 5.3% intraday (sources differ on the exact level), the highest in decades; the 30-year mortgage rate hit 7.50%. Ground News ↗
Fed hike odds are live. Traders put the chance of another hike at the next meeting near 37–39%; September Fed minutes showed a unanimous hike and a majority open to more. Ground News ↗ LPL ↗
Oil stays elevated on Middle East risk. WTI was around $95 and Brent around $106; gasoline is a key driver of headline inflation. Investrade ↗
Banks mixed. Morgan Stanley beat on revenue, BlackRock beat on earnings, and Bank of America missed and took a $1.2B fine. Earnings season continues. Investrade ↗
INTERVIEW ANGLE
TOPIC: WHY DO RISING INTEREST RATES CHANGE HOW DEALS GET FINANCED?
Buyers borrow to fund deals, so when the 10-year yield sits above 5% the cost of that debt jumps and a leveraged buyout needs a lower purchase price or more equity to hit the same returns. Loans, which float with a benchmark rate, have been winning over fixed-rate bonds as the market bets rates peak soon.
Higher borrowing costs shrink what a sponsor can pay, which is why strategic buyers and well-capitalized owners (like Penske and Mitsui) have an edge.
Sponsor-owned platforms like Proofpoint can still win by lining up committed debt and equity upfront.
Banks earn fees on both the M&A advice and the financing, so rate swings move the whole business.
How to bring it up: "With the 10-year above 5%, I'd expect sponsors to lean on loans over bonds and push for lower entry multiples. Proofpoint buying Varonis at roughly 8x revenue with committed debt shows that well-financed buyers can still transact, but they need certainty of funds."
