Friday, October 9, 2026 · Covering: Mon–Fri this week
TL;DR
Schneider Electric agreed to buy industrial software maker PTC for $22.6B in cash, the week's biggest new deal, and Paramount closed its $110B Warner Bros. Discovery takeover, creating Skydance. Two more mid-cap deals landed in logistics (C.H. Robinson / RXO, $5.8B) and Canadian oil sands (Cenovus / Athabasca, about C$5.7B, or roughly US$4.1B). Markets hit records early in the week, then a chip selloff and 10-year Treasury yields near multi-decade highs (around 5.2–5.3%) took the shine off; this edition uses Thursday's close because Friday's session wasn't available when I wrote it.
TOP 3 DEALS
DEAL 1
Industrials / Software
DEAL SIZE$22.6B equity value; $23.7B enterprise value; 42% premium
FINANCING~€5–6B new equity (accelerated bookbuild) + ~€16–17B new debt; bridge from Morgan Stanley and Société Générale
BUYER ADVISORS (SCHNEIDER)Morgan Stanley (lead), Goldman Sachs; Debevoise (legal)
SELLER ADVISORS (PTC)Evercore; Paul, Weiss (legal)
Schneider, a French maker of electrical equipment, is buying PTC, whose software designs and manages factory products, to build a bigger "industrial software and AI" business. It expects about $250M of annual cost savings and says software and services would be roughly 24% of its revenue. Closing is expected by Q3 2027. PTC release ↗ Global Banking & Finance ↗
Why it matters for recruiting: It is a large cross-border industrial-meets-software deal funded by a bridge loan, an equity raise and a multi-currency bond sale, which covers M&A, ECM and DCM in one story.
DEAL 2
Industrials / Logistics
DEAL SIZE~$5.8B; $30.25/share ($17.25 cash + 0.0856 CHRW share); ~29% premium
FINANCINGNew debt, backed by an underwritten Morgan Stanley bridge; buybacks paused until leverage target
BUYER ADVISORS (C.H. ROBINSON)Morgan Stanley; Gibson Dunn (legal)
SELLER ADVISORS (RXO)Goldman Sachs; Paul, Weiss (legal)
Two freight brokers are combining to create a bigger North American logistics company with little customer overlap. C.H. Robinson expects $300M of annual cost savings within two years, and RXO's largest shareholder supports the deal. Closing is likely in the first half of 2027. Business Wire ↗
Why it matters for recruiting: A clean mid-cap strategic deal with a mix of cash and stock, synergy math, and leverage targets (1.75x–2.25x debt to EBITDA), which is a good template for discussing accretion and credit ratings.
DEAL 3
Energy
DEAL SIZE~C$5.7B (roughly US$4.1B) implied enterprise value
CONSIDERATIONCash, 0.264 Cenovus shares, or a mix; cash capped at ~75%
BUYER ADVISORS (CENOVUS)CIBC Capital Markets; McCarthy Tétrault (legal)
SELLER ADVISORS (ATHABASCA)Advisors TBD
Cenovus is buying Athabasca's oil sands assets next to its own Christina Lake operations, adding about 45,000 barrels of oil equivalent per day and over 75 years of reserves. It expects about C$85M of annual savings and has no financing condition. Closing is expected in December. World Oil ↗
Why it matters for recruiting: Energy M&A is being driven by oil near $90–100: buyers pay for long-life reserves next to assets they already run. It also shows a "bolt-on" deal where synergies come from operating next door.

INDUSTRIALS
Schneider/PTC and C.H. Robinson/RXO both show industrial and logistics players paying up for scale, software and cost savings. Yahoo ↗
HEALTHCARE / OTHER

M&A / LEVERAGED FINANCE
A new industry report says global M&A hit a new high as bigger deals dominate, which matches this week's $20B+ headline. With 10-year yields near 24-year highs, deal financing is getting pricier. GlobeNewswire ↗ CNBC ↗
MARKET TONE
Records, then a pullback. The S&P 500 and Nasdaq hit records early in the week, then fell for a second day on Thursday as the AI trade took a hit. Yahoo Finance ↗
Chip selloff. A report that OpenAI's revenue is running about $20B below earlier estimates pushed semiconductor stocks down as much as 4%. Yahoo Finance ↗
Yields near multi-decade highs. The 10-year Treasury yield touched a 24-year high before a solid auction eased demand fears. CNBC ↗
Oil volatile. WTI was near $91 and Brent above $103 on Gulf shipping worries, easing after Trump said the U.S. won't attack Iran before the November 3 midterms. Yahoo Finance ↗
Labor and earnings solid. Jobless claims fell to 197,000, and Q3 S&P 500 earnings are tracking about 29.5% growth, per FactSet. Yahoo Finance ↗
INTERVIEW ANGLE
TOPIC: HOW A BUYER FUNDS A $22B CASH DEAL (BRIDGE, EQUITY, BONDS)
Schneider's PTC purchase shows the standard playbook for a large cash acquisition.
Bridge loan: banks commit upfront so the seller knows the cash is certain; it is temporary and gets refinanced.
Equity raise: issuing about €5–6B of new shares keeps debt in check and protects the credit rating.
Bonds: the rest (about €16–17B) is term-out debt sold to investors, in multiple currencies.
How to bring it up: "Schneider is paying a 42% premium for PTC in cash, funded by a committed bridge that gets replaced by roughly €5–6B of equity and €16–17B of bonds. The goal is to keep Category A credit ratings, and the market's reaction depends on whether $250M of cost savings and $800M of revenue synergies justify the price."
